1. Introduction
These Terms & Conditions (“Terms”) govern the use of consulting services provided by HPT Partners Pty Limited (“HPT Partners”, “we”, “us”, “our”). By engaging our services, you (“the Client”, “you”, “your”) agree to be bound by these Terms.
2. Scope of Services
HPT Partners provides consulting services to organisations to help build and sustain high-performance teams. The specific scope, deliverables, timelines, and fees will be outlined in a written proposal, engagement letter, or service agreement agreed upon between HPT Partners and the Client.
3. Fees & Payment

Fees will be specified in the engagement documentation.

Invoices are payable within [14/30] days of the invoice date unless otherwise agreed.

Late payments may attract interest at 2% per month on the outstanding balance.

HPT Partners reserves the right to suspend or terminate services if payment obligations are not met.
4. Client Responsibilities
The Client agrees to:

Provide accurate, complete, and timely information as required for the delivery of services.

Ensure its personnel cooperate with HPT Partners’ consultants as reasonably necessary.

Be responsible for decisions and outcomes resulting from the advice and recommendations provided.
5. Confidentiality

Both parties agree to keep all confidential information obtained during the engagement strictly confidential.

Confidential information will not be disclosed to third parties without prior written consent, except as required by law.
6. Intellectual Property

Materials, reports, methodologies, and tools developed by HPT Partners remain our intellectual property unless otherwise agreed in writing.

The Client is granted a non-exclusive, non-transferable licence to use deliverables solely for its internal business purposes.
7. Limitation of Liability

HPT Partners will exercise reasonable care and skill in delivering services.

To the maximum extent permitted by law, HPT Partners is not liable for any indirect, incidental, or consequential loss or damage.

Our total liability for any claim arising under these Terms is limited to the fees paid by the Client for the relevant services.
8. Termination

Either party may terminate the engagement by giving [30 days] written notice.

HPT Partners may terminate immediately if the Client breaches these Terms or fails to pay fees when due.

Upon termination, the Client must pay all outstanding fees for services rendered up to the termination date.
9. Privacy
HPT Partners handles personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. By engaging our services, you consent to the collection and use of personal information as described in our Privacy Policy.
10. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
11. Changes to Terms
HPT Partners may update these Terms from time to time. Updated Terms will apply to new engagements and will be provided to Clients prior to commencement of services.
